PERSYARATAN DAN KETENTUAN PERDAGANGAN ONLINE (PERSYARATAN PERDAGANGAN ONLINE)

TERMS AND CONDITIONS FOR ONLINE TRADING (ONLINE TRADING REQUIREMENTS)

Berdasarkan Perjanjian Pembukaan Rekening yang telah dibuat dan ditandatangani oleh dan antara PT INDO CAPITAL SEKURITAS (“Perusahaan”) dengan Nasabah (yang datanya disebutkan pada Formulir), Nasabah dengan ini menyetujui Persyaratan dan Ketentuan Perdagangan Online (”Persyaratan Perdagangan Online”) yang dibuat oleh Perusahaan sebagai berikut :

Under the Account Opening Agreement entered into and executed by and between PT INDO CAPITAL SEKURITAS (“the Company“) and the Customer (whose data being stated in the Form), the Customer hereby approves these Terms and Conditions for Online Trading (“Online Trading Requirements”) which made by the Company as follows :

I. DEFINISI

Kecuali ditentukan lain dalam Persyaratan Perdagangan Online yang diatur di sini, semua definisi yang diatur dalam Perjanjian Pembukaan Rekening berlaku bagi Persyaratan Perdagangan Online.

1. Perdagangan Online adalah saluran distribusi Perusahaan untuk mengakses rekening yang dimiliki Nasabah melalui jaringan internet dengan menggunakan perangkat lunak browser dan Aplikasi pada Media elektronik.
2.  User ID adalah identitas yang dimiliki oleh setiap Nasabah yang harus dicantumkan/diinput dalam setiap penggunaan layanan Perdagangan Online.
3. Password Perdagangan Online adalah nomor identifikasi pribadi yang bersifat rahasia dan hanya diketahui oleh Nasabah serta harus dicantumkan/diinput oleh Nasabah pada saat menggunakan layanan Perdagangan Online. Bersama-sama dengan User ID, Password digunakan untuk membuktikan bahwa nasabah bersangkutan adalah Nasabah yang berhak atas layanan Perdagangan Online.

I. DEFINITION

Unless otherwise provided for Online Trading Requirements provided herein, all definitions set forth in the Account Opening Agreement shall apply to Online Trading Requirements herein.

1. "Online Trading" means the Company's distribution line for accessing Customers' accounts through the Internet by using  browser software and Applications in electronic media
2. User ID means the identity owned by every Customer which should be entered every time the Online Trading service is used.
3. Online Trading Password means a personal identification number which is confidential and only known by the Customer and must be entered by the Customer when he/she/it is using the Online Trading service. In conjunction with User ID, the Password is used for proving that the Customer concerned is entitled to the Online Trading service.

II. SYARAT PENDAFTARAN

1. Nasabah mengisi dan menandatangani Formulir Aplikasi Perdagangan Online yang dapat diperoleh di kantor Perusahaan atau di situs Internet Indo Capital Sekuitas (www.indocapital.co.id).
2. Nasabah harus memvalidasi bukti asli identitas diri yang sah (KTP, SIM, Paspor, KIMS).
3. Nasabah harus memiliki alamat E-mail.
4. Nasabah telah membaca dan memahami Syarat dan Ketentuan Perdagangan Online.
    

II. TERMS OF REGISTRATION

1. The Customer must fill out and sign the Online Trading Application Forms obtainable at the Company’s office or outlets or at the Indo Capital Sekuitas site (www.indocapital.co.id).
2. The Customer must validate a valid original evidence of personal identity (ID Card, Driving License, Passport, KIMS/Stay Permit).
3. The Customer must have an E-mail address.
4. The Customer must have read and understood the Terms and Conditions of Online Trading.

III. KETENTUAN

1. Persyaratan Perdagangan Online berlaku dan mengikat Para Pihak dalam hal perintah Nasabah disampaikan secara online dengan fasilitas internet, dan Perusahaan akan menunjuk seorang petugas pesanan dan perdagangan (“Account Officer”) untuk membantu Nasabah dalam melakukan hal-hal yang terkait dengan perintah Nasabah, untuk kepentingan Nasabah dan Perusahaan, termasuk namun tidak terbatas pada perintah Nasabah yang disampaikan melalui telepon/faksimili/e-mail, apabila fasilitas online tidak dapat berfungsi sebagaimana mestinya.
2. Nasabah dengan ini menyatakan bertanggung jawab atas keabsahan dan kebenaran data perintah yang disampaikan atau ditujukan kepada Perusahaan berdasarkan data perintah yang diterima oleh sistem komputer Perusahaan dan karenanya diakui oleh Nasabah tanpa diperlukan tanda tangan Nasabah dan merupakan satu-satunya bukti yang sah dan mengikat Nasabah dan Perusahaan.
3. Petugas Customer Service Perusahaan akan membuat User ID dan Password standar bagi Nasabah. User ID tersebut bersifat permanen dan tidak dapat diubah kecuali ditentukan lain dalam Persyaratan Perdagangan Online ini.
4. Setelah menerima User ID dan Password standar dari petugas Customer Service, Nasabah wajib segera melakukan penggantian Password standar tersebut.
5. User ID yang telah diberikan oleh Perusahaan kepada Nasabah serta Password yang telah diubah oleh Nasabah tersebut bersifat rahasia, dan Nasabah wajib menjaga, memelihara, dan mengamankan User ID dan/atau Passwordnya dengan cara:
   1. Tidak memberitahukan dan/atau memberikan User ID dan/atau Passwordnya kepada orang lain;
   2. Tidak menuliskan User ID dan/atau Passwordnya, atau menyimpannya dalam bentuk tertulis atau pada aplikasi komputer atau sarana penyimpanan lainnya yang memungkinkan untuk diketahui oleh orang lain;
   3. Memusnahkan secepatnya User ID dan/atau Password setelah menerimanya;
   4. Mempergunakannya dengan hati-hati agar tidak terlihat atau dimanfaatkan oleh orang lain;
   5. Sering mengganti Password secara berkala.
6. Nasabah bertanggung jawab atas segala akibat yang timbul karena penggunaan User ID dan/atau Password yang diberikan kepadanya, termasuk bila terjadi penyalahgunaan oleh pihak ketiga. Nasabah dengan ini membebaskan Perusahaan dari segala tuntutan yang mungkin timbul, baik dari pihak lain maupun Nasabah sendiri sebagai akibat penyalahunaan User ID dan/atau Password.
7. Dalam hal Nasabah mengetahui atau menduga User ID dan/atau Password telah diketahui oleh orang lain yang tidak berwenang, maka Nasabah wajib segera melakukan pengamanan dengan malakukan perubahan Password. Apabila karena suatu sebab Nasabah tidak dapat melakukanperubahan Password maka Nasabah wajib segera memberitahukan kepada petugas Customer Service Perusahaan. Administrator Sistem Perusahaan akan segera menutup akses dan membatalkan Password tersebut serta mengeluarkan Password yang baru untuk Nasabah. Sebelum diterimanya pemberitahuan secara tertulis oleh pejabat Perusahaan yang berwenang, maka segala perintah, transaksi dan komunikasi berdasarkan penggunaan User ID dan Password oleh pihak yang tidak berwenang sepenuhnya menjadi tanggung jawab Nasabah.
8. Penggunaan User ID dan Password mempunyai kekuatan hukum yang sama dengan perintah tertulis yang ditandatangani oleh Nasabah, sehingga karenanya Nasabah dengan ini menyatakan bahwa penggunaan User ID dan Password dalam setiap perintah atas Transaksi Efek Nasabah, juga merupakan pemberian kuasa dari Nasabah kepada Perusahaan untuk melaksanakan Transaksi Efek Nasabah.
9. Perusahaan berhak untuk setiap saat menutup akses Nasabah dan membatalkan User ID dan Password Nasabah baik untuk sementara maupun tetap, apabila:
   1. Nasabah membuat permintaan secara tertulis kepada Perusahaan untuk menghentikan akses layanan Perdagangan Online secara permanen, yang antara lain disebabkan oleh: Nasabah lupa User ID dan/atau Password miliknya; Nasabah menutup Rekening Nasabah yang dapat diakses melalui layanan Perdagangan Online.
   2. Diterimanya laporan tertulis dari Nasabah mengenai dugaan atau diketahuinya User ID dan Password oleh pihak lain yang tidak berwenang.
   3. Perusahaan melaksanakan suatu keharusan sesuai ketentuan perundang-undangan yang berlaku.
   4. Dalam hal Nasabah melakukan pelanggaran terhadap ketentuan yang diatur dalam Persyaratan Perdagangan Online dan atau ketentuan lainnya yang ditetapkan Perusahaan maupun yang diatur dalam perjanjian lain antara Perusahaan dan Nasabah.
10. Untuk melakukan aktivasi kembali karena penghentian akses layanan tersebut di atas, Nasabah harus menghubungi petugas Customer Service Perusahaan atau melakukan pendaftaran ulang.
11. Force Majeure : Nasabah akan membebaskan Perusahaan dari segala tuntutan apapun, dalam hal Perusahaan tidak dapat melaksanakan perintah dari Nasabah baik sebagian maupun seluruhnya karena kejadian-kejadian atau sebab-sebab di luar kekuasaan atau kemampuan Perusahaan termasuk namun tidak terbatas pada segala gangguan virus computer atau sistem Trojan Horses atau komponen membahayakan yang dapat menggangu layanan Perdagangan Online, web browser atau sistem komputer Perusahaan, Nasabah, atau Internet Service Provider, karena bencana alam, perang, huru-hara, keadaan peralatan, sistem atau transmisi yang tidak berfungsi, gangguan listrik, gangguan telekomunikasi, kebijakan pemerintah, serta kejadian-kejadian atau sebab-sebab lain di luar kekuasaan atau kemampuan Perusahaan.
12. Bukti perintah Nasabah melalui layanan Perdagangan Online adalah mutasi yang tercatat dalam Laporan Rekening Nasabah jika dicetak.
13. Nasabah dapat menghubungi petugas Customer Service Perusahaan atas setiap permasalahan yang berkaitan dengan transaksi dan perubahan akses layanan Perdagangan Online.
14. Perusahaan dapat mengubah syarat dan ketentuan ini setiap saat dengan pemberitahuan terlebih dahulu kepada Nasabah dalam bentuk dan melalui sarana apapun.
15. Nasabah tunduk pada ketentuan-ketentuan dan peraturanperaturan yang berlaku pada Perusahaan serta syarat-syarat pembukaan rekening dan syarat rekening gabungan, termasuk setiap perubahan yang akan diberitahukan terlebih dahulu oleh Perusahaan dalam bentuk dan sarana apapun.
16. Atas penggunaan layanan Perdagangan Online, setiap Nasabah dibebani biaya administrasi bulanan yang akan didebet oleh Perusahaan dari rekening Nasabah.
17. Kuasa-kuasa baik yang secara langsung maupun tidak langsung dinyatakan dalam Syarat dan Ketentuan ini merupakan kuasa yang sah yang tidak akan berakhir selama Nasabah masih memperoleh layanan Perdagangan Online atau masih adanya kewajiban lain dari Nasabah kepada Perusahaan.
18. Persyaratan Perdagangan Online merupakan satu kesatuan dan bagian yang tidak terpisahkan dengan Perjanjian Pembukaan Rekening Efek yang telah dibuat dan ditandatangani sebelumnya oleh Perusahaan dan Nasabah, beserta Formulir yang dibuat dan ditandatangani oleh Nasabah, termasuk setiap perubahan dari Perjanjian Pembukaan Rekening Efek dan atau Formulir tersebut.
19. Apabila Nasabah melakukan jual atau beli saham secara otomatis menggunakan fasilitas Automated Ordering yang tersedia pada Perdagangan Online, maka Nasabah menyatakan bahwa :
    1. Nasabah telah mengerti dan memahami segala konsekuensi penggunaan fasilitas Automated Ordering dan menerima risiko yang timbul dari penggunaan Automated Ordering;
    2. Nasabah telah mengerti dan memahami prosedur penggunaan fasilitas Automated Ordering dan telah memahami tindakan-tindakan untuk penanganan risiko yang timbul dari tidak dapat beroperasinya Automated Ordering;
    3. Nasabah tidak akan menyalahgunakan fasilitas Automated Ordering yang diberikan untuk melakukan manipulasi pasar atau tindakan lain yang melanggar hukum;
    4. Instruksi-instruksi yang diberikan oleh Nasabah kepada Perusahaan dengan menggunakan fasilitas Automated Ordering diakui sebagai instruksi yang sah dari Nasabah, dan merupakan bukti yang sah dan mengikat bagi Nasabah;
    5. Perusahaan tidak menjamin dan/atau menggaransi transaksi Order akan selalu match, oleh sebab itu Nasabah membebaskan Perusahaan dari segala kerugian yang mungkin timbul;
    6. Nasabah tidak akan menuntut dalam bentuk apapun dalam hal Perusahaan melakukan intervensi secara sepihak dan tanpa pemberitahuan terlebih dahulu apabila terjadi erroneous atau hal-hal yang terjadi di luar parameter atau batasan sistem yang telah ditentukan.

III. CONDITIONS

1. Online Trading Requirements shall prevail and bind the Parties in case the Customer’s order submitted by online using internet, and the Company shall appoint an order and trading officer as Account Officer, to help the Customer to carry out any matters related to the Customer’s order, for the interest of the Customer and the Company as well, including but not limited to the Customer’s order which is submitted by phone/facsimile/e-mail, if the online facility fails.
2. The Customer hereby declares to be responsible on validity and correctness of the instruction data submitted or addressed to the Company based on the instruction data received by the computer system of the Company and therefore it is acknowledged by the Customer without necessity for Customer’s signature and constituting the only valid and binding evidence for the Customer and the Company.
3. The Customer Service Officer of the Company shall create the User ID and standard Password for the Customer. The User ID shall be permanent, also shall not be changed unless determined otherwise by this Online Trading Requirements.
4. After having received the User ID and standard Password from the Customer Service officer, the Customer obligates to change the standard Password.
5. The User ID which is delivered by the Company to the Customer and the new Password which has been changed by the Customer shall constitute confidential information, and the Customer shall take a good care, maintain and safely keep the User ID and/or the Password by :
   1. not disclosing and/or submitting the User ID and/or the Password to other party(ies);
   2. not writing the User ID and/or the Password, or keeping them in writing, in the computer applications or other storage form(s), which is easily retrieved by others;
   3. destroying immediately the User ID and/or Password upon received;
   4. using the User ID and the Password carefully in order to visually not be seen nor be occupied by others;
   5. Frequently replacing the Password.
6. The Customer declares to be responsible on the consequences of using the User ID and the Password, including the misuse conducted by other third party. The Customer hereby holds the Company harmless of any of claims which might arise, either from another party or from the Customer as a result of the misuse of User ID and/or Password.
7. In the event that the Customer notices or suspects that the User ID and/or Password have been known by an unauthorized person, the Customer shall obligate to immediately take protective measures by changing the Password. If for some reason the Customer is not able to change the Password, The Customer obligates to inform this matter to the Customer Service Officer of the Company. The System Administrator shall immediately block the Customer’s access and cancel the Customer’s Password, and issue the new Password for the Customer. Before such a written notice is received by the Company’s officer in charge, any instruction, transaction and communication made based on the use of User ID and Password by any unauthorized person shall be the full responsibility of the Customer.
8. The use of User ID and Password will have the same legal power as the written instruction signed by the Customer, therefore the Customer hereby declares that the use of User ID and Password in every Customer’s Securities Transaction also constitutes an authorization delegation from the Customer to the Company to carry out the Customer’s Securities Transaction.
9. The Company shall be entitled at any time to block the Customer’s access and cancel the Customer’s User ID and the Password, either temporarily or permanently, in case of:
   1. The Customer requests the Company to discontinue the access to Online Trading service temporarily or permanently on reasons among others that : The Customer forgets his/her/its User ID and/or Password; The Customer closes all the Customer’s Account accessible through the Online Trading service.
   2. The Company receives a written report from the Customer that the User ID and Password are known or allegedly known by an unauthorized person.
   3. The Company performs the requirements as prescribed by the applicable laws.
   4. the Customer violates the terms regulated in this Online Trading Requirements and/or other terms and conditions regulated by the Company, including the terms and conditions stated in the other agreement(s) signed by the Customer and the Company.
10. To reactivate the suspended access to service stated above, the Customer must contact the Customer Service officer of the Company or make a re-registration at the Company’s office for maintaining the related account.
11. Force Majeure ; The Customer shall relieve the Company of any claims whatsoever in the event that the Company fails to execute the Customer's instruction, either partly or wholly, due to occurrences or causes beyond the control or capacity of the Company including but not limited to computer virus problems or Trojan Horses system failure or hazardous components which may affect the Online Trading service, the web browser or computer system of the Company, Customer or Internet Service Provider, caused by natural disaster, war, riots, equipment condition, nonfunctioning system or transmission, power trouble, telecommunications failure, government policy, and other events or causes beyond the control or capacity of the Company.
12. The evidence of the Customer's instruction through the Online Trading is a mutation recorded in the printed Statement of Account belongs to the Customer.
13. The Customer may contact the Customer Service officer of Company on any problems related to transactions and the change of access to the Online Trading service.
14. The Company may modify this Online Trading Requirements at any time by a prior notice to the Customer in any form and media.
15. The Customer shall be subject to the rules and regulations applicable in the Company as well as the requirements for the opening of accounts and the terms of joint accounts, including any change that will be notified in advance by the Company in any form and media.
16. For the use of the Online Trading service, the Customer will be charged with monthly administration fee to be debited by the Company to the Customer's account.
17. The powers, either explicit (or implied) in this Online Trading requirements, are legitimate powers that will not expire as long the Customer still receives the Online Trading service or still has any obligation to the Company.
18. This Online Trading Requirements is an integral and inseparable part of the Securities Account Opening Agreement which has been made and signed beforehand by the Company and the Customer, along with the Form which has been made and signed by the Customer, including every change in the said Securities Account Opening Agreement and or the Form.
19. If the Customer sell or buy shares automatically using Automated Ordering facilities which available on Online Trading, the Customer states that:
    1. The Customer has fully understand all the consequences of the use of Automated Ordering facilities and accept the risks arising from the use of Automated Ordering;
    2. The Customer has fully understand the procedures of Automated Ordering facilities and have understood the measures for handling the risks arising from the failure operation of Automated Ordering;
    3. The Customer will not trespass the Automated Ordering facilities given to perform any market manipulation or other unlawful acts;
    4. Instructions given by the Customer to the Company by using Automated Ordering facilities recognized as the legitimate instructions from the Customer, valid and binding evidence toward the Customer;
    5. The Company does not ensure and / or guarantee Order transaction will always match, and therefore the Customer release the Company from any disadvantage that may arise;
    6. Customers will not demand in any form in terms of the Company intervenes unilaterally and without prior notice in the event of erroneous or things that happen beyond the parameters or limit system that have been determined
